GENERAL COUNSEL

SALARY GRADE: 15
SALARY RANGE: $160,000 – $180,000

LICENSE STATUS: PRINCIPAL/KEY & RACING GENERAL STATEMENT OF DUTIES
Under the direction of the Board of Directors and the President & Chief Executive Officer, the General Counsel is responsible for the review and implementation of all matters of a legal nature affecting the Corporation.
ESSENTIAL DUTIES AND RESPONSIBILITIES
- Advise President & Chief Executive Officer and other Officers of the Corporation on new laws, existing laws, and legal rights that would impact the functionality of the Corporation.
- Formulate the Corporation’s operating plan, rules and regulations, and by-laws.
- Maintain knowledge of the Corporation’s legal documents and operations.
- Prepare and negotiate contracts for vendor services, leases and agreements.
- Draft and review proposed City, State and Federal legislation affecting the Corporation.
- Represent the Corporation in all types of legal proceedings and real estate matters related to purchase and sale.
- Provide legal opinions when requested by management staff or seek some when appropriate.
- Prepare and review all leases and rental agreements for the Corporation.
- Perform related duties as required.
REQUIRED KNOWLEDGE, SKILLS AND ABILITIES
Strong knowledge of the law. Working knowledge of NYS Statute regarding NYS Tax Law/Racing, Wagering, and Breeding Law as it is related to video gaming, racing, and OTB operations. Understanding of the NYS Gaming environment and its unique operational requirements. Knowledge of the NYS Legislature and NYS Legislative and regulatory practices, interactions, and operations. Understanding of Public Benefit Corporation requirements, responsibilities, and limitations
ACCEPTABLE TRAINING AND EXPERIENCE
A Juris Doctor (JD) degree from an accredited college or university and a minimum of five (5) years of relevant legal experience. Must possess a license to practice law in New York State.
Must be approved for and maintain a valid Video Lottery Gaming Principal/Key Employee license and racing license issued by the New York State Gaming Commission.
PHYSICAL REQUIREMENTS
This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets, and fax machines. This is a largely sedentary role; however, some filing is required. This would require the ability to lift or move up to 15 pounds at a time, move files, open filing cabinets, and bend or stand as necessary. The person in this position must be able to talk and hear in order to ensure proper communication.
